Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Greenfinity Integrated Limited ("Greenfinity," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria, governing your access to and use of the GreenfinityOne mobile application, website, and all related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our AML Policy. If you do not agree to these Terms, you must not access or use the Platform.

2. Eligibility

To use the Platform, you must:

  1. Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher.
  2. Be a natural person (individuals) or a duly registered business entity in Nigeria or an eligible diaspora jurisdiction (United Kingdom, United States, Canada, European Union member states).
  3. Have the legal capacity to enter into binding agreements.
  4. Not be a Politically Exposed Person (PEP) unless disclosed during the enhanced due diligence process.
  5. Not be listed on any sanctions list maintained by the United Nations, OFAC, EU, or any other applicable sanctions body.
  6. Successfully complete our Know Your Customer (KYC) verification process.

3. Account Registration

3.1 Account Creation

To access the Platform's services, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

3.2 KYC Verification

In compliance with the Money Laundering (Prohibition) Act 2011 (as amended) and CBN KYC Regulations, you must complete our identity verification process, which may include:

  • Submission of a valid, government-issued photo identification (National ID, International Passport, Driver's License, or Voter's Card)
  • National Identification Number (NIN) verification
  • Bank Verification Number (BVN) validation
  • Facial recognition / liveness check (selfie verification)
  • Proof of address (utility bill, bank statement, or government correspondence dated within the last 3 months)

We reserve the right to request additional documentation for enhanced due diligence, particularly for high-value transactions, PEPs, or users from high-risk jurisdictions.

3.3 Account Security

You must immediately notify us at security@greenfinityone.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized access caused by your failure to safeguard your credentials.

4. Platform Services

The Platform provides the following credit services, subject to your eligibility:

4.1 Credit Products

Smile Credit (Diaspora Credit Facility):

  • Available to eligible Nigerians residing in approved diaspora jurisdictions.
  • Loan amounts, interest rates, and repayment tenures are determined on a per-application basis and communicated prior to disbursement.
  • Interest rates are calculated as disclosed in the loan offer and comply with CBN interest rate guidelines.
  • Disbursement is subject to successful KYC verification, admin approval, and, where applicable, field agent verification.

Super Fast Credit (Local Credit Facility):

  • Available to eligible individuals physically present in Nigeria.
  • Requires completion of digital KYC.
  • Loan terms, including principal, interest, fees, and repayment schedule, are fully disclosed in the loan agreement before acceptance.
  • Late repayment may incur penalties as stated in the loan agreement.

5. Fees and Charges

All applicable fees, charges, and interest rates are disclosed before you confirm any transaction. These may include:

  • Loan processing fees
  • Interest charges (calculated as disclosed per product)
  • Late payment penalties
  • Platform service fees
  • Transaction charges (where applicable)

We reserve the right to modify our fee structure with at least 30 days' prior written notice to affected users. Continued use of the Platform after the effective date of fee changes constitutes acceptance.

6. Repayment Obligations

Borrowers are obligated to repay loans in full according to the agreed repayment schedule. Failure to meet repayment obligations may result in:

  1. Imposition of late payment penalties as stated in the loan agreement.
  2. Reporting to licensed credit bureaus, which may adversely affect your credit score.
  3. Engagement of licensed debt recovery agents in compliance with the CBN Regulatory Framework for Credit Bureaus and Sheriffs and Civil Process Act.
  4. Legal proceedings for debt recovery.
  5. Restriction or suspension of your Platform account.

7. Prohibited Activities

You must not use the Platform to:

  • Provide false, misleading, or fraudulent information during registration, KYC, or any transaction.
  • Engage in, facilitate, or attempt money laundering, terrorism financing, or any financial crime.
  • Impersonate another person or entity, or use another person's account or credentials.
  • Use the Platform for any purpose that violates applicable Nigerian law or the laws of your jurisdiction.
  • Attempt to circumvent, disable, or interfere with the Platform's security features.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Use automated bots, scrapers, or similar tools to access the Platform.
  • Distribute malware, viruses, or other harmful code through the Platform.
  • Harass, threaten, or abuse other users or Greenfinity personnel.

8. Intellectual Property

All content, features, functionality, trademarks, logos, and design elements of the Platform are owned by or licensed to Greenfinity Integrated Limited and are protected under Nigerian copyright law, the Trademarks Act (Cap T13 LFN 2004), and applicable international intellectual property treaties.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any Platform content without our written consent.

9. Limitation of Liability

To the maximum extent permitted by Nigerian law:

  • Greenfinity provides the Platform "as is" and "as available" without warranties of any kind, express or implied.
  • We do not guarantee uninterrupted, error-free, or secure access to the Platform.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.
  • Our total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you to Greenfinity in the 12 months preceding the claim.
  • We are not liable for losses arising from circumstances beyond our reasonable control ("Force Majeure"), including but not limited to natural disasters, government actions, power failures, internet disruptions, or acts of terrorism.

10. Indemnification

You agree to indemnify, defend, and hold harmless Greenfinity, its directors, officers, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  1. Your breach of these Terms.
  2. Your violation of any applicable law or regulation.
  3. Your use or misuse of the Platform.
  4. Any inaccurate or misleading information you provide.
  5. Any claim by a third party related to your actions on the Platform.

11. Account Suspension and Termination

We may suspend or terminate your account at our discretion if:

  • You breach any provision of these Terms.
  • We are required to do so by law, regulation, or a valid court order.
  • Your account is flagged for suspicious or potentially fraudulent activity.
  • You fail to complete KYC verification within the required timeframe.
  • You are found to be a minor or otherwise ineligible.

You may initiate account deletion at any time through the Platform's account settings or by contacting us at hello@greenfinityone.com. Please note that your account can only be fully closed and deleted once all outstanding loans, interest, and other financial liabilities to Greenfinity Integrated Limited have been fully settled and verified. Account termination does not extinguish your obligation to repay outstanding debts.

12. Dispute Resolution

12.1 Internal Resolution

In the first instance, disputes should be directed to our support team at hello@greenfinityone.com. We will endeavor to resolve complaints within 14 business days.

12.2 Mediation

If the dispute is not resolved internally, either party may refer the matter to mediation under the rules of the Lagos Multi-Door Courthouse (LMDC) or an equivalent Alternative Dispute Resolution (ADR) center.

12.3 Arbitration

If mediation fails, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Mediation Act 2023 of the Federal Republic of Nigeria. The arbitration shall be conducted in Lagos, Nigeria, in the English language, by a sole arbitrator mutually agreed upon by both parties or, failing agreement, appointed in accordance with the Act.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. The courts of Lagos State, Nigeria shall have non-exclusive jurisdiction over any matters not subject to arbitration.

13. Regulatory Compliance

Greenfinity operates in compliance with, and users are subject to, the following Nigerian laws and regulations (as amended from time to time):

  • Money Laundering (Prohibition) Act 2011 (as amended 2022)
  • Terrorism (Prevention and Prohibition) Act 2022
  • Central Bank of Nigeria (CBN) Act 2007
  • CBN Consumer Protection Framework
  • Nigeria Data Protection Act (NDPA) 2023
  • Cybercrimes (Prohibition, Prevention etc.) Act 2015
  • Economic and Financial Crimes Commission (EFCC) Act 2004
  • Companies and Allied Matters Act (CAMA) 2020
  • CBN Guidelines on Operations of Microfinance Banks (where applicable)

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated at least 30 days in advance via in-app notification, email, or publication on the Platform. Your continued use of the Platform after the effective date of modifications constitutes acceptance of the updated Terms.

If you do not agree with the modified Terms, you must discontinue use of the Platform and close your account.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

16. Entire Agreement

These Terms, together with the Privacy Policy, AML Policy, and any other supplemental terms or policies referenced herein, constitute the entire agreement between you and Greenfinity regarding use of the Platform and supersede all prior agreements, understandings, or representations.
